1. Introduction
These terms govern the services provided by Timur Cimerman, sole trader (self-employed), company ID (IČO) 56643454, with its address at 29. augusta 5682/36A, 058 01 Poprad, Slovakia (the "provider" or "we"), to its customers ("customer" or "you"). Anyone who wants a website or online shop for their business or activity can order the service: a company, a sole trader or a person without a company ID (for example before registering as a sole trader, a freelancer, an association, a band), if they are at least 18 years old. Whether you are a consumer does not depend on a company ID but on the purpose of the order. An online shop is used to sell goods, so it is always ordered for a business or activity. The exception is a website ordered exclusively for private purposes (point 14).
Custom projects outside the subscription are covered by a separate contract.
2. What you get
- Website ($69 per month): design and build of the website, hosting, maintenance and changes included.
- E-shop ($179 per month): an e-shop on the Shopify platform that we manage for you. Shopify's own fees are paid directly to Shopify.
- Advertising (from $59 per month): management of your ads on Facebook and Instagram (Meta) as described in section 7. The ad budget paid to Meta is not part of the subscription.
- Add-ons: optional services you pick in the panel. You see the price and scope before you order.
The free website preview is non-binding. A contract is formed only when you confirm the order (in an email or in the panel). After that we prepare the website or online shop, you make the first payment at launch, and once you have paid we put it live right away. The service runs for as long as you pay.
The results of your business (traffic, enquiries, revenue) depend on many things outside our control. We do not guarantee specific numbers.
3. Price and payment
The entry fee is $0, plus the monthly subscription for the plan you choose. Prices are shown in the currency displayed on the website. If we are a VAT payer, VAT is included in the price or added as the law requires; if we are not, we do not charge VAT.
You pay by card through Stripe, monthly in advance. You pay the first month only from launch: after the first payment we put the website live right away and the service runs for as long as you pay. The subscription renews and is charged automatically every month until you cancel.
Prepaying several months: you can prepay 3, 6 or 12 months at once with a 5% discount on the price. The prepaid period is binding on both sides and cannot be cancelled during its term, except for a serious breach under points 10 and 11 and the cases in point 9. For longer cooperation we are happy to agree something individual, just write to us.
If a payment fails we email you and try again. What happens if it stays unpaid (1 month of grace) is in point 10.
We may change the subscription price. We tell you by email at least 30 days in advance, and if you disagree you can cancel before the change takes effect.
Nothing beyond the subscription is charged without your confirmation.
Termination in short
- You: cancel the subscription at any time, no penalties. The service runs until the end of the month you have already paid for, and the next payment is not charged. A prepaid period (3, 6 or 12 months) cannot be cancelled, except for a serious breach on our side (point 11).
- We, when you have no prepaid period: on an ordinary monthly subscription we can give notice without giving a reason, and the service runs until the end of the month you have already paid for. During a prepaid period (3, 6 or 12 months) we are bound just as you are, and we can end it only for a serious breach on your side, in case of force majeure, or if we discontinue the service entirely for all clients (in the last two cases we refund the proportionate unused part). You always get an export of your content and a domain transfer.
- Breach of the terms on your side: non-payment even after one month of grace, illegal content, spam, phishing, breaking Meta's rules or abuse. We may end it immediately and the paid period is not refunded.
- If we get it wrong (an outage through our fault of more than 48 hours in a row): you can end it immediately, without a fee, and we refund the proportionate part.
- After the end: the content and domain are yours (we transfer the domain free of charge), you can buy the website out ($349 after 12 months), the Shopify account stays yours, and so do the ad campaigns on your own account. We keep your content and data for another 30 days, then delete it (invoices are kept as the law requires).
4. Term and notice from your side
The subscription runs for an indefinite period, with no minimum commitment, and renews automatically month by month. You pay monthly in advance.
You can cancel at any time in the panel (Payments), by email or through the contact form, without giving a reason. The service runs until the end of the month you have already paid for, then it ends. The next payment is not charged. No penalties or cancellation fees. A month already paid is not refunded.
If you prepaid 3, 6 or 12 months, the prepaid period applies: neither you nor we can cancel it, except for a serious breach (points 10 and 11) and the cases in point 9. After it ends the subscription continues month by month unless you cancel it.
You cancel the advertising package and add-ons with a monthly payment in the same way, and separately, without cancelling the website or online shop.
What happens to the website, online shop, advertising and your data after the end is in point 12.
5. Buying out your website
If you have paid the subscription for at least 12 months, you can buy the website out for a one-time $349. We hand it over so you can run it elsewhere (files, content and the data needed). You then handle hosting and maintenance yourself and the subscription ends.
A Shopify e-shop is on your account from the start, so it is not bought out. When the service ends we simply stop managing it (point 12).
6. Ownership: content, website and domain
- Your content (texts, photos, logo, brand, products) always belongs to you. You give us the right to use it so that we can build and run the website or online shop. You confirm that you have the rights to everything you send us.
- The template code and the system (our engine and the panel) belong to Klientera. You may use them during the subscription. You get the website's source code by buying it out (point 5).
- The domain: we recommend that you own it (in your name, with your registrar). We guide you through the whole purchase step by step. If you prefer, we buy the domain for you and manage it (registered to us on your behalf). We transfer it to you free of charge at any time, you pay only the registrar's fees, if there are any.
- The Shopify shop is set up in your name and is yours. We only have collaborator access to the shop, which you can remove at any time.
- Who owns what: you own the domain, content, texts, photos and the Shopify shop. We own the template code and the system (our engine, the panel).
7. Advertising (add-on)
You can add ad management on Facebook and Instagram (Meta) to your subscription as the Start ($59 a month), Growth ($119) or Pro ($239) package. The packages do not include other ad platforms. The exact scope is on the Ads page and in the pricing, in short:
- Websites and services (goal: enquiries): Start 1 campaign and 6 new creatives a month, budget up to $1,100 a month. Growth up to 3 campaigns and 15 creatives (including 1 video), budget up to $3,300. Pro up to 6 campaigns and 30 creatives (including 2 AI videos), budget up to $11,000.
- Online stores (goal: purchases): every package includes the pixel and Conversions API with purchases, a product catalog and dynamic retargeting. We make creatives for the number of products that depends on the package: Start up to 3 (6 creatives a month), Growth up to 10 (15), Pro up to 25 (30).
- Extras: 5 image creatives for $29, an AI video ad for $35, 3 videos for $95. More products, more creatives or a budget above $11,000 a month are handled with a custom quote.
- No minimum budget. You can start from as little as $5 a day, or more if you like. We charge no fee for launching ads. The monthly package fee pays for looking after your advertising (checks and optimisation every 2nd day, daily on Pro).
- The ad budget is not included in the package price. By default the ads run on your own ad account and you pay the budget directly to Meta. We have partner access, the account and the data stay yours.
- Agency account (on request): the ads run on our account. You pay the budget plus a 4% fee on it upfront as credit, by bank transfer or SEPA. When the credit runs out, we stop the ads. We never run ads without credit and never invoice the budget afterwards.
- You approve the creatives and copy before they go live. Ads must follow Meta's policies, if Meta rejects them, we adjust them.
- No guaranteed results. The number of enquiries and sales also depends on your offer, the market and the budget. You see the results in the panel once the package is active.
- Cancellation: you can cancel the package at any time, the service runs until the end of the paid month, independently of the website subscription. What happens to campaigns and credit is in point 12.
8. Customer obligations
You provide the materials and answer our questions in reasonable time so that we can finish the website or online shop. You are responsible for the content you publish on the website, in the online shop or in advertising.
You must not use our services to spread illegal content, infringe the rights of others (copyright, trademarks, personal data), send spam, run phishing or otherwise abuse the website, online shop, emails or advertising. You treat us and our people politely, without insults or harassment.
If you collect data from visitors on the website, you are the controller and responsible for informing them. We help you with a data processing agreement (see the Privacy policy).
9. Termination by us
Ordinary monthly subscription: we can terminate it even without giving a reason, in writing (by email). The service runs until the end of the month already paid for (that month is not refunded, it is paid and simply runs out). During the notice period you get an export of your content (texts, photos, logo, page structure, list of enquiries) and a domain transfer, so that you can continue elsewhere.
Prepaid period (3, 6 or 12 months): during it we cannot terminate the contract without giving a reason. We can end it only (a) for a serious breach on your side under point 10, (b) in case of force majeure, or (c) if we discontinue the service entirely for all clients. In cases (b) and (c) we refund the proportionate unused part of the prepaid period, and you get an export of your content and a domain transfer.
For a breach of the terms on your side (point 10) we may suspend the service or end the contract immediately. For illegal content, abuse or spam we usually first warn you by email, explain what is wrong and give you 7 days to fix it. We act without a warning for a serious breach that harms others or is clearly illegal, for example phishing, spreading malicious code or mass spam. Even then we tell you the reason.
10. Breach of the terms by the customer
- Non-payment: when a payment fails we send a reminder and try again. You get 1 month of grace during which the website stays online. If it stays unpaid even after the grace period, we suspend the service (the website, the online shop under our management and the advertising) and may end the contract immediately. The paid period is not refunded. If you pay before the contract is ended, we restore everything.
- Illegal content on the website, in the online shop or in advertising.
- Infringing third-party rights, for example other people's photos or texts without a licence, fake brands, misuse of personal data.
- Abuse of the service: spam, phishing, fraudulent offers, spreading malicious code, attacks on other systems.
- Breaking Meta's rules in advertising (prohibited products, misleading claims), if you do not fix it after a warning or if it puts the account at risk of being blocked.
- Insulting or harassing us and our people.
While suspended we delete nothing. If the contract ends because of a breach, we do not refund the period already paid (including a prepaid one), but we still give you the content export and the domain transfer (point 12). The statutory rights of consumers are not affected.
11. If we breach the terms
A serious breach on our side is an outage of your website, your online shop under our management or the panel through our fault lasting more than 48 hours in a row. In that case you can end the contract immediately, by email or in the panel, without a fee, even during a prepaid period. We refund the proportionate part of the period you have paid for and will not use.
An outage caused by force majeure or by services we do not manage (Shopify, Meta, Vercel, the domain registrar, your email provider) is not considered our fault. Even then we help as much as we can.
We are happy to fix smaller mistakes. Write to us and we will correct them without undue delay.
12. What happens after the end
- Website: when the service ends we take it offline. If you have paid for at least 12 months, you can buy it out before the end for $349 (point 5) and run it elsewhere. Whenever the service ends (even without a buyout) we send you on request an export of the content: texts, photos, logo, page structure and the list of enquiries.
- The domain and content are yours. Whenever the service ends, we transfer free of charge a domain we registered for you to you or to the registrar you name (you pay only the registrar's fees).
- Online shop: the Shopify account stays yours with all products, orders and customers. We remove our collaborator access, and you continue to deal with the Shopify subscription directly with Shopify.
- Advertising on your own ad account: campaigns, audiences and data stay on your account. We remove our partner access and you can run the campaigns yourself or with someone else.
- Advertising on our agency account: we switch the campaigns off on the day the service ends. We refund unspent credit within 14 days, reduced only by the fee 4% already charged (which is not refunded). We send you the creatives you have paid for.
Your data: after the end we keep it for another 30 days so that you can request an export or come back. Then we delete it: the website, files, enquiries, requests and the account in the panel. We keep invoices and accounting records for as long as the law requires (in Slovakia 10 years), and basic contract data (who you are and what you ordered) only to defend possible claims. More in Privacy.
13. Our liability
We provide the service with professional care and aim for continuous availability. We announce planned maintenance in advance. We cannot guarantee full availability because we depend on providers such as Vercel, Stripe or Shopify.
Our total liability for damage is limited to at most the amount you paid us in the last 3 months before the damage occurred. We are not liable for lost profit or indirect damage. We do not guarantee advertising results (enquiries, sales, revenue).
We are not liable for outages or decisions of third parties (Shopify, Meta, Vercel, Stripe, the domain registrar and the like), nor for events of force majeure beyond our control.
The limit does not apply to damage caused intentionally or by gross negligence, and it does not apply to consumers to the extent the law forbids it.
14. Exception: private website order (consumers)
If, as an individual, you order a website exclusively for private purposes, outside any business or earning (for example a personal page, a wedding, a hobby), and you choose a private order when accepting the contract, you are a consumer. If you live in the EU, you can withdraw from the contract within 14 days; details are on the Refunds and cancellation page. These statutory rights cannot be excluded by contract.
For an order for a business or activity (with or without a company ID) and for an online shop, the consumer right of withdrawal does not apply.
Send complaints to info@klientera.com. We handle them within 30 days. If you are not satisfied, you can turn to an alternative dispute resolution body, for example the Slovak Trade Inspection (soi.sk), or the competent authority in your own country.
15. Governing law and changes
The contract is governed by the law of the Slovak Republic. A consumer keeps the protection of the mandatory rules of the country where they live. Disputes with customers ordering for a business or activity are decided by the courts of the Slovak Republic.
We may change these terms. We tell you by email at least 30 days in advance, and if you disagree you can give notice before the change takes effect.
